The role you’ll contribute:

The Regional Chief Legal Officer (“RCLO”) serves primarily to advance the legal needs of Adventist Health System (“AHS”) as In-House Counsel. The RCLO is subject to the rules and regulations governing the practice of law in the state of Florida, North Carolina, Georgia and Kentucky as well as policies established by AHS for its employees. The RCLO is responsible for establishing and maintaining strong relationships with individuals in AHS corporate departments and hospital facilities (“Clients”) in the areas of law as assigned. The RCLO must be sensitive to Client-specific issues and standards, promptly respond to Client inquiries and commit to fiscal responsibility to the organization as a whole. The RCLO advises Clients in such a way as to help prevent future/potential litigation and endeavors to ensure that AHS is in compliance with all applicable laws and protects the legal rights of the organization. The RCLO must have a combined knowledge and understanding of the law as it relates to their Client with a strong understanding of appropriate business operations within a healthcare environment.

The value that you bring to the team:

· Support the Chief Legal Officer in achieving established goals for the AHS Legal Department.

· Serve as primary legal counsel for the hospitals and affiliated entities in the Southeast Region, providing counsel on transactional, regulatory matters, joint ventures, corporate structures, medical staff credentialing issues, and peer review.

· Advise hospital administration and Boards of Directors on all legal matters, including compliance with federal and state law, and Joint Commission Standards.

· Supervise legal aspects of acquisitions, co-management agreements, joint ventures, and formation of a physician-hospital networks.

· Counsel on legal issues related to medical staff bylaws, disciplinary action, peer review, and EMTALA, which includes drafting medical staff policies, rules and regulations and attending medical staff meetings.

· Work closely with risk management and nursing staff on inquiries related to patient rights, guardianships, informed consent issues and advanced directives.

· Review clinical trial contracts, corporate transactions, purchase agreements, and real estate transactions.

· Provide legal advice to not-for-profit hospital foundations.

· Collaborate with Corporate Responsibility and Compliance Directors on internal investigations and regulatory reporting.

· Accurately prepare legal documents involving analysis, legal research, and application of thoroughly developed legal expertise and transactional experience in assigned areas of law.

· Analyze Client inquiries and have regular status meetings with Regional CEO and hospital executives (CEO, COO, CFO, CMO).

· Regularly attend Client meetings as requested for purposes of providing legal advice and provide necessary documents in preparation of such meetings.

· Effectively demonstrate sufficient knowledge of Client practices, procedures and policy objectives to accurately recommend appropriate course(s) of action.

· Work and communicate effectively with management at Client facilities, earning and maintaining management confidence, trust and respect, so that legal counsel is sought and valued.

· Engage outside counsel and assist with discovery, depositions, review of motions and other litigation related tasks.

· Provide training programs to hospital staff, physicians and board members on regulatory requirements for hospitals and physicians.

· Ensure proper business and facility licensing by working to maintain corporate identities including set-up, registration, tax ID’s, and assuring any affiliated entities are duly formed and in good standing.

The expertise and experiences you’ll need to succeed :

· Graduation from an accredited law school.

· Member of the Florida Bar or Florida Authorized Counsel OR admitted to the State Bar in which they will be practicing

· Knowledge of health care law, including general principles of Medicare reimbursement programs, anti-fraud statutes and programs including the Medicare Fraud and Abuse (Anti-Kickback) Statute, Stark Rules, False Claims Act, and Civil Monetary Penalty Act.

· Knowledge of federal and state tax law, real estate law, tort law, hospital and physician licensure law and contract law as those areas relate to health care law.

· Strong analytical abilities and be able to work effectively under strict time constraints.

· Strong written and oral communication skills with the ability to interact well with people from various levels within the organization.

· Legal research skills.

· Comprehensive knowledge of legal publications and the ability to use them efficiently including computer assisted research by using on-line services.

· Ability to reason analytically and pragmatically.

· Ability to grasp, comprehend and analyze complex legal issues and complicated factual details.

· Ability to work effectively with others as well as work independently, without close supervision.

· Familiarity with Microsoft’s office suite, email applications, and other software resources.

Preferred Qualifications :

· Law firm experience.

· Hospital in-house counsel experience.

· Specific experience in hospital regulatory compliance in the areas of fraud and abuse, anti-referral laws, peer review, patient rights, federal privacy laws, and research involving human subjects.

· Experience in acquisition of hospitals, ambulatory surgery centers, and physician practices.

· Teaching and public speaking ability.

· Experience with mental health, emergency services, surgical services and various inpatient and outpatient services.

· Ability to negotiate with opposing counsel on contractual matters, medical staff issues, and litigation matters.

· Knowledge of tax-exempt hospital foundation regulations
